Effective Date: October 6, 2026
This Terms and Conditions Agreement (the "Agreement") constitutes a legally binding, valid, and enforceable contract by and between Fringe Metals (operating through its registered owner, Arete Mining & Consultancy Limited, a corporation organized and existing under the laws of Zambia, hereinafter referred to as "the Platform" or "Fringe"), the Buyer, and the Seller (each individually referred to as a "Party" and collectively as the "Parties").
WHEREAS, Fringe operates a specialized online digital marketplace designed to safely connect corporate entities offering physical industrial minerals or metals with qualified global buyers; and
WHEREAS, the Seller owns, controls, or holds valid statutory disposal authority over specific mineral concentrates, ores, or refined metal consignments and desires to list such physical commodities on the Platform to solicit verified commercial purchase offers; and
WHEREAS, the Buyer desires to utilize the Platform to discover, review, secure, and clear transactions for physical mineral and metal volumes by committing transactional capital into a designated global secure banking framework managed by Fringe.
NOW, THEREFORE, in consideration of the mutual covenants, execution terms, and operational fee parameters set forth herein, the Parties agree to be strictly bound by the following conditions:
2.1. Mandatory Trade Parameters: Prior to entering into a locked transaction status, the platform interface requires the definitive, immutable entry of the target delivery volume, grade/chemical specifications, baseline moisture limits, packing format, and the final combined Base Transaction Amount.
2.2. The System Trigger: A binding, immutable transaction sequence is officially triggered, and the contractual obligations of all Parties under this Agreement become instantly effective, at the exact universal timestamp when either:
3.1. The 5% Total Facilitation Split: Instantly upon the execution of the System Trigger, Fringe shall facilitate the commercial trade through a secure split-fee framework where a total of five percent (5%) of the Base Transaction Amount is allocated to the Platform. This fee is split equally between the transacting parties (2.5% applied to the Buyer and 2.5% applied to the Seller).
3.2. Financial Mechanics: The settlement framework requires the exact mathematical execution of the following volumes:
3.3. Payment Infrastructure and Timeline: The Buyer must remit all funds exclusively via Bank Wire Transfer or Telegraphic Transfer (SWIFT) directly to the verified corporate bank account of Arete. The Buyer has a strict window of five (5) working days from the electronic trigger timestamp to clear the full gross payment volume into the designated account.
3.4. Failure to Remit & Purging: Should the full gross payment fail to clear inside the 5 working days timeline, the transaction request is instantly purged by the platform automation, any reservation claims are invalidated, and the commodity listing remains open and active.
3.5. Lock-In Execution: Immediately upon verification of cleared funds from the Buyer by Arete's treasury, the Platform updates the listing status to Pending Settlement, and the consignment is completely locked, removing it from public marketplace visibility.
4.1. Delivery Inspection & Right to Challenge: Upon physical delivery of the mineral or metal consignment at the designated discharge port, warehouse, or destination facility, the Buyer has a strict window of ten (10) calendar days to conduct independent weight and quality testing. If the Buyer finds that the mineral grade, metal purity, or moisture composition does not match the specifications listed by the Seller within the Platform module, the Buyer must formally issue an official Quality Challenge via the Platform framework.
4.2. Splitting Limits & Material Deviations: The protocol for resolving quality claims depends on the variance between the Seller's listed assay and the Buyer's initial arrival assay:
4.3. Compulsory Umpire Assay Procedures: In the event of a Material Deviation, Fringe Operatives will step in to manage the dispute neutrally under the following strict guidelines:
4.4. Allocation of Umpire Costs & Price Adjustments:
5.1. Operational Scope of Arete: Once funds are securely held in the platform banking framework, Fringe (through Arete Mining & Consultancy Limited and its designated operational partner agencies) will actively step in to facilitate the transaction through to its successful completion. This operational support includes coordinating documentation handovers, verifying compliance with weight/assay certificates, monitoring local logistics clearance, and managing the final secure distribution instructions.
5.2. Successful Resolution ("Done Deal"): Upon successful validation of delivery prerequisites, arrival confirmations, and the expiration or settlement of any quality challenges under Section 4, Arete will execute the final wire payouts—disbursing the net settlement to the Seller and retaining the 5% platform fee. The listing state updates to Done Deal.
6.1. Governing Contract Law: This Agreement, its formation, validity, commercial obligations, collection workflows, quality dispute frameworks, and any dispute or non-contractual claim arising out of it shall be governed by, and construed exclusively in accordance with, the laws of the United Kingdom (English Law), without regard to choice of law principles.
6.2. Binding International Arbitration: Any dispute, controversy, or breach arising directly or indirectly from this contractual platform framework shall be referred to and definitively resolved by binding international commercial arbitration administered by the London Court of International Arbitration (LCIA) under the LCIA Arbitration Rules currently active. The tribunal shall consist of one (1) independent arbitrator. The seat and legal venue of arbitration shall be London, England. The official language of all proceedings shall be English.
6.3. Sovereign Separation of Physical Assets: All Parties explicitly confirm that the actual physical movement, customs clearance, environmental cross-border compliance, export tax structures, and local mining/commodity trading statutory requirements shall remain separately subject to the local laws of the respective sovereign nations where the physical minerals/metals originate or cross. This Agreement strictly governs platform escrow, financial distributions, quality frameworks, and digital matching/facilitation fees due to Fringe/Arete.
7.1. Severability: If an arbitral tribunal or competent court declares any section of these terms invalid, the remaining clauses shall preserve full legal validity and continue to bind the Parties.
7.2. Entirety: This document embodies the entire commercial agreement regarding marketplace platform engagement for minerals and metals trading, superseding all prior verbal exchanges, platform messages, or drafts.
7.3. Execution Consent: By registering an account, maintaining an active listing, inputting a purchase request, or executing an electronic deal trigger, all Parties issue unconditional consent to these terms.

This Terms and Conditions Agreement (the "Agreement") constitutes a legally binding, valid, and enforceable contract by and between Fringe Metals (operating through its registered owner, Arete Mining & Consultancy Limited, a corporation organized and existing under the laws of Zambia, hereinafter referred to as "the Platform" or "Fringe"), the Investor, and the License Holder (each individually referred to as a "Party" and collectively as the "Parties").
WHEREAS, Fringe operates a specialized online digital marketplace designed to safely connect entities holding valid mining rights with prospective global investors; and
WHEREAS, the License Holder owns or controls certain mining tenements, concessions, or licenses and desires to list such mineral assets on the Platform to solicit third-party corporate investment; and
WHEREAS, the Investor desires to utilize the Platform to discover, review, and lock exclusive options on listed mineral assets by committing transaction deposits into a designated escrow framework;
NOW, THEREFORE, in consideration of the mutual covenants, execution terms, and financial obligations set forth herein, the Parties agree to be strictly bound by the following conditions:
2.1. Mandatory Parameters: Prior to entering into a locked negotiation status, the system requires the definitive entry of the total gross Investment Amount and the digital selection of one of two structured Facilitation Deals:
2.2. The System Trigger: A binding, immutable transaction sequence is officially triggered, and the contractual obligations of all Parties under this Agreement become instantly effective, at the exact universal timestamp when both the Investor and the License Holder click to accept the transaction frameworks on the Platform dashboard.
3.1. The 5% Remittance Obligation: Instantly upon the execution of the System Trigger, a mandatory security and facilitation deposit equal to exactly five percent (5%) of the total gross Investment Amount must be transferred by the Investor into the designated secure banking account managed by Arete Mining & Consultancy Limited.
3.2. Approved Payment Architecture: All deposits must be remitted exclusively via Bank Wire Transfer or Telegraphic Transfer (SWIFT) directly to the verified corporate bank account of Arete. The Investor has a strict window of five (5) working days from the electronic trigger timestamp to clear the full deposit volume into the account.
3.3. Failure to Remit & Cancellation: Should the full 5% security deposit fail to clear inside the 5 working days timeline, the transaction request is instantly purged by the platform automation, any exclusivity claims are invalidated, and the tenement listing remains open and active.
3.4. Lock-In Execution: Immediately upon verification of cleared funds by Arete's treasury, the Platform updates the listing status to Reserved, triggering automated database exclusivity.
4.1. Strict Exclusivity Window: The arrival of funds and shifting to Reserved initiates a definitive 90-day (three-month) exclusivity window. The listing is removed from public viewing feeds, and the License Holder is strictly prohibited from holding concurrent discussions or marketing the tenement to third parties.
4.2. Operational Scope of Arete: During this 90-day period, Fringe Operatives (Arete Mining & Consultancy Limited) shall act as the official independent neutral facilitator. Arete will direct, review, and execute technical field evaluations, geological audits, legal prerequisite tracking, concession registry validity checks, and structured commercial meetings to bring the transaction to a complete corporate closure.
The allocation, retention, and disbursement of the initial 5% security deposit at the expiration or milestone resolution of the 90-day exclusivity matrix is governed strictly by the pre-selected option:
| Deal Structure / Outcome | Option A: 5% Facilitation Fee Deal | Option B: 5% Shares Split Equally Deal |
|---|---|---|
| Successful Close Within 90 Days | Arete permanently retains the entire 5% cash deposit as its corporate facilitation fee. Listing updates to Done Deal. |
|
| Unsuccessful Close (Deal Fails) | Arete retains a 10% breakout fee (0.5% of total investment). The remaining 90% balance is wire-refunded to the Investor. Listing reverts to Active. | Arete retains a 10% breakout fee (0.5% of total investment). The remaining 90% balance is wire-refunded to the Investor. Listing reverts to Active. |
If the full 90-day timeline expires without the delivery of a legally executed, finalized corporate closing agreement or an authorized written extension approved by Arete, the transaction state updates to Unsuccessful. The financial retention policies detailed in Section 5 are automatically processed, and the asset listing immediately reverts to active visibility on the platform global grid.
7.1. Mutual Extension Window: Should deep geological testing or legal drafting require additional time, the Investor and License Holder may jointly execute a written extension request prior to the 90-day cutoff, subject to absolute verification by Arete.
7.2. Compulsory Extension Surcharge: Any approved extension incurs a mandatory, non-refundable premium equal to ten percent (10%) of the initial 5% security deposit (representing an additional 0.5% of the gross Investment Amount). This adjustment permanently alters final fee structures as follows:
8.1. Governing Contract Law: This Agreement, its formation, validity, commercial obligations, collection workflows, and any dispute or non-contractual claim arising out of it shall be governed by, and construed exclusively in accordance with, the laws of the United Kingdom (English Law), without regard to choice of law principles.
8.3. Sovereign Separation of Mining Titles: All Parties explicitly confirm that the structural transfer, title registration, local environmental compliance, and statutory execution regarding the underlying mining tenements or concessions themselves shall remain separately subject to the local statutory mining acts of the specific Sub-Saharan African sovereign nation where the physical assets reside. This Agreement strictly governs platform escrow, financial distributions, and digital facilitation terms due to Fringe/Arete.
9.1. Severability: If an arbitral tribunal declares any section of these terms invalid, the remaining clauses shall preserve full legal validity.
9.2. Entirety: This document embodies the entire commercial agreement regarding marketplace platform engagement, superseding all prior verbal exchanges or drafts.
9.3. Execution Consent: By registering an account, maintaining an active listing, inputting an investment target, or executing a deal trigger, all Parties issue unconditional consent to these terms.
